These Terms and Conditions govern your use of the ProFreigHTX website operated by Profreightx LLC (“ProFreigHTX,” “we,” “us,” or “our”). By accessing or using this website, you agree to these Terms. If you do not agree, do not use the website.

1. Website purpose

This website provides general information about dispatching support and allows motor carriers to inquire about services and prepare onboarding documents. Website use alone does not create a dispatcher–carrier relationship. Services begin only after the parties accept a separate written agreement.

2. Dispatching role

ProFreigHTX provides administrative and dispatching support to motor carriers under written agreements. Unless expressly stated otherwise in a separate written agreement and supported by applicable authority, ProFreigHTX does not hold itself out through this website as a motor carrier or property broker, does not transport freight, and does not take possession of cargo. Carrier retains control over whether to accept or reject each load.

3. No guaranteed results

Load availability, rates, lanes, broker approval, revenue, profits, mileage, and operating results are not guaranteed. Market conditions, carrier qualifications, equipment, authority status, safety history, insurance, and third-party decisions may affect opportunities.

4. Accurate information

You agree to provide accurate, current information and to update it when necessary. You may not impersonate another person or business, submit information without authorization, interfere with the website, attempt unauthorized access, or use the website for unlawful activity.

5. Forms and electronic signatures

When an onboarding document states that electronic execution is accepted, selecting its consent checkbox and submitting a typed full legal name constitutes the signer’s electronic signature and intent to sign. The signer represents that they are authorized to act for the identified Carrier, consents to receiving and completing the record electronically, and may print or save the document before submission. We record the submission time, document version, IP address, and browser information as part of the audit record. Contact us to request a paper process or copy of a submitted record. Sensitive tax, banking, or payment information must be returned only through the secure method we designate.

6. Dispatch fee and card authorization

Unless a signed service schedule states otherwise, Carrier agrees to pay Profreightx LLC a dispatch fee equal to 8% of the gross amount stated on the applicable rate confirmation for each completed load arranged through ProFreigHTX. Carrier authorizes Profreightx LLC to charge the payment method submitted through Stripe after the corresponding load is completed. Freight payments remain payable directly to Carrier or Carrier’s authorized factoring or payment provider.

Stripe will charge $1 when Carrier completes card verification. Profreightx LLC will credit that $1 toward Carrier’s first dispatch fee. Carrier may revoke authorization for future charges by written notice, but revocation does not affect charges already earned, authorized, or due.

7. Stripe checkout

Card details are entered on Stripe’s hosted checkout page and are processed under Stripe’s terms and privacy practices. Profreightx LLC does not receive or store the complete card number. Stripe may provide us with customer, billing, transaction, payment-method, consent, and payment-status information needed to administer the authorization and dispatching relationship.

8. Third-party services and links

The website may link to government forms, brokers, load boards, payment providers, or other third parties. We do not control their content, availability, privacy practices, decisions, or performance. A link does not constitute an endorsement or guarantee.

9. Intellectual property

The ProFreigHTX name, original logo, website design, copy, and other original materials are owned by Profreightx LLC or used with permission. You may view and print materials for legitimate business evaluation or onboarding, but may not copy, sell, publish, or commercially exploit them without written permission.

10. Disclaimer of warranties

To the maximum extent permitted by law, the website is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not promise that the website will be uninterrupted, error-free, or free of harmful components.

11. Limitation of liability

To the maximum extent permitted by law, Profreightx LLC and its owners, employees, and contractors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, lost loads, business interruption, or losses caused by third parties or reliance on website content. Nothing in these Terms excludes liability that cannot legally be excluded.

12. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute relating solely to website use will be handled in a court with lawful jurisdiction in Texas, unless a separate signed agreement requires another process.

13. Changes and severability

We may revise these Terms by posting an updated effective date. Continued website use after a revision means you accept the updated Terms. If a provision is found unenforceable, the remaining provisions remain in effect.
